Avoid Purchasing the Corporate Entity
Let me caution you about buying a business.
Many people want to operate their own business.
They want to own it and operate it the way they see fit.
There are plenty of opportunities all around to buy an existing business.
However, I urge you to be very, very careful not to buy the existing corporate entity, that is the corporation or the LLC that owns that existing business.
When you do so, you have also set yourself up to be liable for any previous lawsuits or upcoming lawsuits that may involve that business corporate entity.
You don’t want to own the corporation. You want to own just the business assets, goodwill, that sort of thing.
A carefully drawn asset purchase contract will be able to accomplish your goal and avoid the unnecessary assumption of liability from buying an existing corporation or LLC.
